Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by WPPurify (“WPPurify,” “we,” “us,” or “our”). By engaging WPPurify to perform any WordPress‑related work, you (“you” or “Client”) agree to these Terms in full. If you do not agree, please do not use our services.

1. Services

1.1 Scope. WPPurify offers WordPress support, including but not limited to:

  • Bug fixes & troubleshooting

  • Theme issue resolution & customization

  • Plugin installation, customization, or development

  • Site migrations & hosting transfers

  • Performance optimization, security hardening, backups

1.2 Additional Work. Any work outside the agreed scope will require a separate estimate and written approval.

2. Engagement Process

2.1 Discovery & Proposal. We begin with a discovery call to understand your needs. Following that, we deliver a written proposal outlining deliverables, timelines, and fees.

2.2 Acceptance. A signed proposal or written confirmation (email) by you constitutes acceptance and forms a binding agreement.

2.3 Workflow.

  • Kickoff: We collect credentials and set up staging environments.

  • Development: All changes occur in a secure staging or development environment.

  • Review & Revision: You review deliverables and request up to two rounds of revisions.

  • Launch: Upon approval, we push changes to live.

3. Fees & Payment

3.1 Rates. Fees are as quoted in your proposal: fixed‑price or hourly.

3.2 Invoicing.

  • Fixed‑Price Projects: 50% deposit upon acceptance, 50% upon completion.

  • Hourly Work & Maintenance: Billed weekly or monthly, with invoice due within 15 days of receipt.

3.3 Late Payments. Invoices unpaid after 15 days incur a 1.5% monthly interest fee.

3.4 Expenses. Any third‑party costs (e.g., premium plugins, premium themes, hosting) are billed at cost plus 10%.

4. Client Responsibilities

4.1 Access. You agree to provide timely access to your WordPress admin, hosting control panel, and any necessary credentials.

4.2 Content & Approvals. You are responsible for supplying all content (text, images, video) and approving deliverables promptly.

4.3 Backups. While we perform safety backups before major changes, you agree to maintain your own regular backups of production data.

5. Intellectual Property

5.1 Pre‑Existing IP. Each party retains ownership of any intellectual property they created before this engagement.

5.2 Deliverables. Upon final payment, WPPurify assigns you a perpetual, worldwide license to use the custom code, designs, and materials we produce for your site.

5.3 Third‑Party Materials. Any third‑party themes, plugins, fonts, or images are subject to their own licenses. You agree to comply with those terms.

6. Confidentiality

6.1 Non‑Disclosure. Both parties agree to keep confidential information (business plans, code, credentials) secure and not disclose it to third parties unless required by law.

7. Warranties & Disclaimers

7.1 Limited Warranty. WPPurify warrants that services will be performed in a professional manner consistent with industry standards.

7.2 Disclaimer. Except as expressly provided, we make no other warranties, express or implied, including merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, WPPurify’s total liability under these Terms shall not exceed the total fees paid by you in the six months preceding the claim. In no event shall we be liable for any indirect, incidental, or consequential damages.

9. Indemnification

You agree to indemnify and hold harmless WPPurify, its officers, and employees from any claims, losses, or damages (including reasonable attorneys’ fees) arising from your breach of these Terms or your use of third‑party materials.

10. Termination

10.1 By Client. You may terminate at any time by providing written notice. You remain responsible for payment of work completed through the termination date.
10.2 By WPPurify. We may suspend or terminate services if you breach these Terms, fail to pay invoices, or otherwise impede our work.

11. Changes to Terms

WPPurify may update these Terms from time to time. We will notify you of material changes by email or via our website. Continued use of our services after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of Bangladesh. Any dispute arising under or in connection with these Terms shall be resolved in the courts of Dhaka.
